John N. Evans, CPA, is a Partner in the Tax Group at Marks Paneth & Shron LLP. He specializes in tax issues affecting closely held businesses and their owners. He has worked on tax matters relating to the conversions of large, multinational C corporations into to S corporations including planning to minimize the tax on subsequent dividend distributions. He has reorganized S corporations and limited liability companies (LLCs) so that they could go public and has also helped take public companies private; He has also advised closely held businesses on how to organize and expand their international operations and provided guidance for several complex tax-free, like-kind exchanges.

Mr. Evans has been practicing public accounting since 1978. He has held numerous leadership positions at both global and national professional services firms including serving as the worldwide deputy director for enterprise services. In that position, he focused on the business and tax issues that impact both start-up and closely held businesses as well as their owners.

Mr. Evans has served both public and private multinational companies, providing significant international and domestic tax planning advice. He has assisted businesses with structuring and restructuring their operations through mergers, acquisitions, divestitures and expansion into both domestic and foreign markets. He has assisted companies with initial public offerings (IPOs), transition planning, exit strategies and going private. He has advised on conversions to S corporations and limited liability companies (LLCs).

He has served clients in a broad range of industries including consumer business, technology, professional services firms, manufacturing, distribution, wholesale and retail. Mr. Evans has significant experience and expertise in all aspects of Accounting for Income Taxes now contained in FASB Accounting Standards Codification Topic 740.

Mr. Evans is recognized for his expertise on tax matters and has written for and been interviewed by publications such as The Wall Street Journal, Forbes, Fortune, USA Today, Inc., Bottom Line for Business and Crain’s New York Business. Mr. Evans has been a featured guest on radio and television broadcasts including CNBC, CNN, Fox Business Cable Network and Smart Money TV’s Small Business webcast.

Mr. Evans is a member of the American Institute of Certified Public Accountants (AICPA) and both the New York and New Jersey Societies of Certified Public Accountants. He is a former member of the AICPA’s S Corporation Tax Committee. He is actively involved with the national nonprofit organization CancerCare and has served as the co-chair of its annual Lung Cancer Walk in Long Island since that event’s inception in 2003.

Mr. Evans graduated cum laude from Seton Hall University with a Bachelor of Science in Business Administration. He divides his time between the firm’s Manhattan and Long Island offices. He is licensed to practice accounting in New York and New Jersey.
